On October 18, Joint Meeting of Deans of Management Schools of the National MBA Training Schools was held at the Beijing Conference Center, which was hosted by the China National MBA Education Supervisory Committee. The meeting gave awards to the winners of the 11th national “A Hundred Excellent Management Cases”. Two cases written by Professor Lv Hongjiang’s team and Assistant Professor Zhou Lulu’s team were awarded.


Congratulations to the case written by Professor Lv Hongjiang, Deputy Dean of the School of Economics Management, and his team, "The Management Control of Subsidiaries under Cross-border Mergers Acquisitions: TI's Bottleneck Breakthrough", and the case written by Assistant Professor Zhou Lulu, the Minister of the Case Center, and her team "Do It Properly or Do It Vainly: The Revolution Road of Huangshan Tourism Performance Management System", which won the 11th national "A Hundred Excellent Management National Cases" award.





The Management Control of Subsidiaries under Cross-border Mergers Acquisitions: TI's Bottleneck Breakthrough


This case was written by Dr. Lv Hongjiang, Deputy Dean of the School of Economics and Management of SEU and office director of the Business Management subject, and Shen Yalan, doctoral student of the Fengyan project and EMBA student.


Abstract:


In 2017, ES successfully acquired TI and reached a strong combination within 3 years, quickly achieving a coordinated development after the mergers acquisitions. This case describes a series of management and control activities for TI Company done by CEO Tom after the appointment of the ES Company in the time order, including the ice-breaking event between the parent company and subsidiary company, re-inventing TI’s middle and low-end controller products according to domestic demand, carrying out differential management control under the respect of the difference between Chinese and English culture, and promoting a series of events such as integrating the overseas business of the parent company and the subsidiary company, revealing the crucial effect of an efficient and scientific management control system in promoting the mergers acquisitions cooperating process of the parent company and the subsidiary company. The case focused on the transnational mergers acquisitions of enterprises, helping students understand the concept of management control, the type of management control matching model, the influencing factors of the management control system, and the evolution of the management control system of the multinational M&A company.

Do It Properly or Do It Vainly: The Revolution Road of Huangshan Tourism Performance Management System


This case was written by Zhou Lulu, Assistant Professor and Minister of the Case Center of the School of Economics and Management of SEU, Zhang Xufan, Professor of Ginling College of Nanjing Normal University, and Zhao Shuming, Senior Professor and Honorary Dean of Business School of Nanjing University.


Abstract:


In recent years, the external environment of the tourism industry is complex and changing, and Huangshan Tourism shares that are born from the administrative institution system also have varying degrees of illnesses like the lack of separation between government and enterprises, bloated institutions, and lazy personnel. This case describes the organizational change starting in November 2016 and focuses on describing the process of performance management system revolution, which handle the most widely gained interest. This case, by presenting the background, content, challenges and conflicts encountered in the process of implementing performance system changes in Huangshan Tourism shares, analyzed key issues such as how Huangshan Tourism shares coped with the resistance of the change and the strategies in different stages of the change. This case can help understand the theoretical points related to organizational change, and can also provide guidance and reference of organizational changes for tourism companies in a complex and changeable environment.
